Terms of service

These terms govern your use of this website and every purchase made through it from Ascendtials LLC, a California limited liability company (“Ascendtials,” “we,” “us”). By browsing the site, creating an account or placing an order, you agree to these terms, our research disclaimer and our shipping and returns policy, which form part of this agreement. If you do not agree, do not use the site or place an order.

All products are chemical reference materials supplied solely for in-vitro laboratory research and development by qualified persons. They are not drugs, foods, dietary supplements, cosmetics or medical devices, and they have not been evaluated or approved by the U.S. Food and Drug Administration for any purpose.

Products must not be administered to, ingested by, applied to, or otherwise introduced into any human or animal, and must not be used for diagnosis, treatment, cure, mitigation or prevention of any disease or condition. Nothing on this site is medical advice.

By placing an order, you represent and warrant that:

• you are at least 21 years of age and legally able to enter into a contract;
• you are purchasing for legitimate laboratory research, on your own behalf or for an organisation you are authorised to represent;
• you, or the personnel who will handle the products, have the training, facilities and equipment to store, handle and dispose of research chemicals safely; and
• you may lawfully purchase, possess and use the products in your jurisdiction and institution.

Each order requires an explicit attestation to these representations. We record the attestation together with the time, order details and technical information such as IP address, and may rely on it.

You agree not to, and not to allow anyone else to:

• use any product in or on humans or animals, or for personal consumption;
• resell, repackage, relabel or redistribute products for human or veterinary use, or market them in any way that suggests such use;
• incorporate products into any food, drug, dietary supplement, cosmetic or medical device;
• use products in breach of any law, regulation, or institutional rule that applies to you;
• provide false information at checkout, including false attestations or a false shipping destination; or
• use the site to post content that makes health or human-use claims about our products, including through referral links or reviews.

A breach of this section voids every warranty, entitles us to cancel open orders and close your account, and may be reported to the relevant authorities.

Your order is an offer to buy. It is accepted when we confirm it and take payment. We may decline or cancel any order, in whole or in part, before shipment, including where the intended use appears inconsistent with these terms, the destination is restricted, payment cannot be verified, or a product or price was listed in error. If we cancel after taking payment, we refund the amount paid for the cancelled items.

Prices are in U.S. dollars and exclude shipping unless stated. Bulk pricing and promotional codes apply as described at checkout; one promotional code may be used per order, and codes have no cash value. We may change prices and products at any time, but changes do not affect orders already accepted.

You may change or cancel an order free of charge until it ships by contacting us with your order number.

We accept the payment methods shown at checkout, which may include cards, cryptocurrency and bank transfer. Card payments are processed by a third-party payment processor and the charge may appear on your statement under that processor's descriptor. Cryptocurrency payments are made through a hosted invoice at the dollar amount locked at checkout; blockchain transfers are final, so refunds of crypto payments are made in U.S. dollar value to a wallet address you provide.

Bank-transfer and payment-app orders are held until payment arrives and are cancelled automatically if unpaid by the deadline shown on the order and in your confirmation email. If you have a problem with an order, contact us first; we resolve most issues within one business day. Chargebacks filed without first contacting us, or filed for orders that were delivered as described, may result in account closure.

We ship within the United States only and do not ship to states listed at checkout where applicable law restricts these sales. Dispatch times are targets, not guarantees, and carriers' delivery estimates are outside our control.

Title and risk of loss pass to you when we hand the parcel to the carrier. Our shipment protection, described in our shipping policy, is a voluntary commitment to reship lost or damaged parcels and does not change where risk sits. You are responsible for providing an accurate address and for any loss caused by an incorrect one.

Because the integrity of research materials cannot be verified once they leave our custody, we do not accept returns. If an item arrives damaged, defective or different from what you ordered, contact us within 7 days of delivery with your order number and photographs. Keep affected items sealed until we respond. We will, at our option, replace the item or refund the price paid for it. This is your sole remedy for non-conforming products.

Product descriptions, chemical data and literature references are provided for scientific information only. We take care to check identity data against public reference databases and the published literature, but we do not warrant that every item of information is complete, current or free from error. Citing a published study is not a claim that a product has any particular effect.

Where a certificate of analysis or laboratory report is provided for a lot, it relates only to the lot identified, describes the material as tested, and is not a representation of fitness for any particular application. Product images are illustrative; the label on the vial you receive governs.

Research chemicals may be hazardous and many have not been fully characterised toxicologically. You assume all risks arising from the receipt, storage, handling, use and disposal of the products, and you are responsible for using appropriate protective equipment, controls and disposal methods and for complying with your institution's safety rules.

Except as expressly stated in these terms, the site and all products are provided “as is” and “as available.” To the fullest extent permitted by law, we disclaim all other warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. Some jurisdictions do not allow the exclusion of certain warranties, so some of these exclusions may not apply to you.

To the fullest extent permitted by law, Ascendtials and its members, officers, employees and suppliers will not be liable for any indirect, incidental, special, consequential or punitive damages, or for loss of data, profits or research results, arising from these terms, the site or the products, however caused. Our total liability for any claim relating to an order is limited to the amount you paid for the products at issue.

Nothing in these terms limits liability that cannot be limited by law, including liability for fraud or for death or personal injury caused by our negligence.

You agree to indemnify, defend and hold harmless Ascendtials and its members, officers, employees and agents from any claim, loss, liability, damage or expense, including reasonable attorneys' fees, arising from your breach of these terms, your misuse of any product, your violation of any law or third-party right, or any use of the products by you or anyone who obtains them from you.

You are responsible for keeping your login credentials secure and for activity on your account. We may suspend or close accounts that breach these terms.

Referral rewards are earned only for genuine purchases by third parties who are new customers, under the programme rules shown on your account page. Self-referrals, duplicate accounts, incentivised or fake reviews, and promotion that suggests human use or makes health claims are prohibited; rewards generated that way will be withheld or reversed. We may change or end the programme at any time, but will honour rewards already earned in accordance with the rules in force when they were earned.

The Ascendtials name, logo, site design, product photography and original text are owned by Ascendtials LLC or its licensors. You may view and print pages for your own research records, but may not copy, republish or use them commercially without our written consent. Third-party names and published works referenced on the site belong to their respective owners.

We collect the information needed to process, ship and support your orders, verify payments, keep the attestation records described above, and operate the site. We do not sell or rent personal information. We may disclose information where required by law or to protect our rights, our customers or the public, including in response to suspected misuse of our products.

These terms are governed by the laws of the State of California, without regard to its conflict-of-laws rules. Before starting any formal proceeding, you agree to contact us and give us 30 days to try to resolve the dispute informally. Any dispute that is not resolved will be brought in the state or federal courts located in California, and you consent to their jurisdiction, except that either party may bring an individual claim in small claims court where it qualifies.

These terms, together with the documents they reference, are the entire agreement between you and us about their subject. If any provision is found unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not transfer your rights under these terms without our consent. We may update these terms by posting a new version with a new effective date; the version in force when you place an order applies to that order.
